Training & Course Terms

1. Who we are and what these terms cover
These terms cover your purchase of and access to QualitaX’s self-paced online training courses (each a “Course”), including “QualitaX AI Foundations and Ethics for Professionals”. The Courses are provided by Consianimis Consulting Ltd, trading as QualitaX (company no. 09006129), registered office 167-169 Great Portland Street, 5th Floor, London, England, W1W 5PF.
By buying or accessing a Course you agree to these terms. These terms do not cover our consulting services, which are provided under a separate agreement.
2. Business or consumer
Some of these terms differ depending on whether you buy as a consumer (an individual buying for purposes outside your trade, business or profession) or as a business (including where an employer buys Courses for staff). Sections that apply only to one are marked.
3. Buying a Course
3.1 A contract forms when we confirm your order (or, for business orders, when we accept your order or purchase order).
3.2 Courses are licensed per named learner (“seat”). Access is personal and must not be shared, resold or transferred. Each seat gives access for 30 days from first access (the “Access Period”).
3.3 You are responsible for keeping your login details secure.
4. Price and payment
Prices are shown at the point of sale, per seat, and are inclusive or exclusive of VAT, as indicated. Payment is due in full at purchase or per the invoice.
5. Consumer cancellation / “cooling-off” — consumers only
5.1 If you are a consumer buying at a distance, you normally have the right to cancel within 14 days of the day the contract is formed, and to receive a refund, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
5.2 Digital content / immediate access. A Course is digital content and an online service. If you want access before the 14-day period ends, you must (a) expressly request that access begins immediately and (b) acknowledge that you will lose your right to cancel once access has begun (for fully digital content) or, for the service element, that you will be charged for what you have used if you cancel after access begins. We will ask you to confirm both at checkout. If you do not give that consent, we will make the Course available after the 14-day period ends.
5.3 To cancel (where the right still applies), tell us clearly at contact@qualitax.io within the period. We will refund within 14 days of being informed, using your original payment method; where you have used part of the service before cancelling, we may deduct a proportionate amount for what was supplied.
6. Business purchases — businesses only
The statutory consumer cancellation right in section 5 does not apply to business purchases. Refunds for business purchases are at our discretion and are dealt with under section 7.
7. Your rights if something is wrong
7.1 We will provide the Courses with reasonable care and skill, and the Course content will be as described.
7.2 Consumers: nothing in these terms affects your statutory rights under the Consumer Rights Act 2015, including that digital content and services must be of satisfactory quality, fit for purpose and as described, and your remedies if they are not. If a Course is faulty or not as described, contact us and we will put it right (for example by repair, re-supply, or a price reduction or refund where appropriate).
8. Using the Course materials
8.1 We grant you a non-exclusive, non-transferable licence to access and use the Course materials for your own learning during the Access Period. You must not copy, record, share, republish, resell or create derivative works from the materials, or use them to build a competing course.
8.2 All intellectual property in the Courses and materials remains ours or our licensors’.
9. Certificates of completion
Where a Course issues a certificate of completion, it confirms that the named learner completed the Course. It is not a professional certification, accreditation, licence or qualification, and it is not issued by an accredited certification body. Completing a Course does not certify the learner or their organisation against any standard.
10. Availability and changes
10.1 We aim to keep Courses available throughout the Access Period but do not guarantee uninterrupted access. We may update Course content to keep it current.
10.2 We may withdraw or discontinue a Course. If we withdraw a Course you have paid for and cannot access, we will provide a suitable alternative or a pro-rata refund.
11. Our liability
11.1 Nothing in these terms limits or excludes our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence, for fraud, or (for consumers) for breach of the statutory rights referred to in section 7.
11.2 Consumers: we are responsible for foreseeable loss and damage we cause. We are not responsible for loss that is not foreseeable, or for business losses (the Courses are for the learner’s professional development, not for any specific business outcome).
11.3 Businesses: subject to 11.1, we are not liable for loss of profit or any indirect or consequential loss, and our total liability for a Course is limited to the fees paid for that Course.
11.4 Course content is educational and general; it is not legal, regulatory or certification advice for your specific circumstances.
12. Data protection
We handle personal data relating to your purchase and learning in accordance with our Privacy Notice.
13. Complaints, governing law and contact
13.1 If you have a problem, contact us at contact@qualitax.io and we will try to resolve it.
13.2 These terms are governed by the laws of England and Wales.
